For owners and directors resident in Portugal

An Estonian company with a Portugal-resident owner

Running an Estonian company from Portugal can make it Portuguese tax resident, whatever the Estonian register says. This page starts there. It then explains article 66 CIRC, including paragraph 12, and what Estonia requires on its side.

The Portuguese questions stay with your accountant

We do not replace your contabilista certificado, your certified accountant in Portugal, or your auditor. We keep the Estonian company books and deliver them in a form your accounts can consolidate. We do not give Portuguese tax advice.

All our work and correspondence is in English. A Portuguese version of this page is available if your team prefers it.

Residence first, everything else after

Under article 2(3) of the CIRC, the Portuguese corporate income tax code, an entity is resident in Portugal if it has its sede or its direção efetiva there. These are its registered seat and its place of effective management. Either is enough on its own. An Estonian company run from Portugal usually has its direção efetiva in Portugal. It is then Portuguese tax resident, whatever the Estonian register says.

Your contabilista certificado will want this answered before anything else, because article 66 deals with non-resident entities. The facts that count are those of real management:

  • Where do the directors and board members live and work?
  • Where are the important decisions taken in practice, and where are the meetings held?
  • Does the company have people, premises and customers in Estonia, or is it mainly a registration?
  • Who negotiates with customers and suppliers, and from where?

Note: Estonia's 0% rate on retained profit only matters once you know where the company is resident. If it is run from Portugal, the question changes.

Article 66 CIRC in detail

Article 66 holds the Portuguese controlled foreign company (CFC) rules. It attributes the profits of a non-resident entity under a clearly more favourable regime to a Portuguese resident who holds it. IRC, which the table mentions, is the Portuguese corporate income tax. The table sets out the rules.

ProvisionWhat it saysNotes
Article 2(3)An entity with its sede or direção efetiva in Portugal is residentEither one is enough
Article 66, holdingProfits are attributed to a Portuguese resident holding at least 25%The threshold drops to 10% if Portuguese residents together hold at least 50%
Article 66(5)Clearly more favourable: territory on the ministerial list, exemption from a tax similar to IRC, or a rate below 60% of the IRC rateIn 2026 that means a rate below 11.4% (60% of 19%)
Article 66(12)Does not apply to an entity resident in another EU Member State if the taxpayer shows valid economic reasons and real economic activityEstonia is an EU Member State

IRC is 19% in 2026, 18% in 2027 and 17% in 2028. Small and medium companies pay 15% on the first 50,000 EUR of taxable profit. A 0% rate on retained profit is below 11.4%, so your contabilista certificado will look at the paragraph 5 test. For a real business, paragraph 12 usually answers it.

What paragraph 12 settles, and what it does not

Paragraph 12 sets article 66 aside where the entity is resident in another EU Member State. The taxpayer has to show that the entity was set up and runs for valid economic reasons and carries on a real economic activity (atividade económica genuína). So for a real Estonian business, the CFC rules are usually the smaller issue.

Paragraph 12 answers the article 66 question, but not the article 2(3) question. A company run from Portugal may have its direção efetiva in Portugal. The issue is then no longer the attribution of a foreign entity's profits. It is the residence of the company itself.

The Estonian side

Whatever the answer in Portugal, the Estonian company has these duties in Estonia:

  • Corporate income tax: 0% on retained and reinvested profit and 22% on distributed profit, worked out as 22/78 of the net amount. On a net distribution of 78 EUR, the tax is 22 EUR.
  • VAT: 24% since 1 July 2025, with a registration threshold of 40,000 EUR.
  • VAT return (KMD): by the 20th of the following month.
  • Annual report: by 30 June.

We keep the monthly books and prepare the annual report, which the Estonian management board approves and signs.

Questions for your contabilista certificado

  1. Where is the direção efetiva of the company, and what evidence is there?
  2. If the company is Portuguese resident, how are its results and distributions treated?
  3. If it is not, does article 66 apply to you, given your holding?
  4. Can you show the valid economic reasons and real activity that paragraph 12 requires?
  5. Is there a double tax treaty that needs to be considered?

What we do, and what we do not

We do the bookkeeping, VAT and annual report under Estonian law. We give your contabilista certificado accurate Estonian facts and figures. If an Estonian company does not help you, we will say so. Our article on where an Estonian company is actually taxed covers the same ground in more depth.

We do not give Portuguese tax advice. What we say about the CIRC is the content of the provisions cited, not a conclusion about your situation.

How it works

  1. The facts of management

We look at where the directors live, where decisions are made and what real activity there is in Estonia.

  2. Your accountant

We pass those facts to your contabilista certificado, who answers the Portuguese questions.

  3. Estonian books

We keep the books and monthly VAT under Estonian law and file the KMD by the 20th.

  4. Annual report

We prepare the annual report for filing by 30 June, signed by the Estonian management board.

Frequently asked questions

Is an Estonian company run from Portugal Portuguese tax resident?

It can be. Article 2(3) CIRC makes an entity resident if it has its sede or direção efetiva in Portugal. If real management happens in Portugal, that is the first question for your contabilista certificado.

What does article 66(12) say?

It sets the article aside for an entity resident in another EU Member State where the taxpayer shows valid economic reasons and real economic activity. Estonia is an EU Member State.

What are the 25% and 10% thresholds?

Attribution applies to a Portuguese resident holding at least 25% of the entity. The threshold is 10% where Portuguese residents together hold at least 50%.

What is a clearly more favourable regime?

Under paragraph 5, it is a territory on the ministerial list, exemption from a tax similar to IRC, or a rate below 60% of the IRC rate. In 2026 that means below 11.4%.

What is the IRC rate in 2026?

It is 19% in 2026, then 18% in 2027 and 17% in 2028. Small and medium companies pay 15% on the first 50,000 EUR.

Do you give Portuguese tax advice?

No. We do not give Portuguese tax advice. We cover the Estonian side and leave the Portuguese answers to your contabilista certificado.
