For owners and directors in Portugal
Estonian accounting for Portuguese companies
SPATIAL EYE OÜ keeps the books, VAT and annual report of your Estonian company. One question comes first. If the company is run from Portugal, its direção efetiva (place of effective management) may be in Portugal, and the Estonian register does not change that.
We work alongside your contabilista certificado
You already have a contabilista certificado, your certified accountant in Portugal, and perhaps an auditor. We replace neither. We are the Estonian part: we keep the Estonian books and deliver them in a form your Portuguese accounts can consolidate.
We do not give Portuguese tax advice. The Portuguese questions belong with your contabilista certificado, and we list them below.
All our work and correspondence is in English, including the reports your accountant and auditor receive. A Portuguese version of this page is available if your team prefers it.
Residence comes first
Article 2(3) of the CIRC, the Portuguese corporate income tax code, treats an entity as resident in Portugal if it has its sede or its direção efetiva there. The sede is the registered seat. Either one is enough. So if you live in Portugal, residence is the first question about an Estonian company, before any tax saving.
In practice, an Estonian company run from Portugal, by people who live and decide in Portugal, usually has its direção efetiva in Portugal. The Estonian commercial register does not change that.
The first question: if you run the Estonian company from Portugal, start with where the company is tax resident, not with the Estonian tax rate. That question belongs with your contabilista certificado.
Why the CFC rules usually matter less
Article 66 of the CIRC holds the Portuguese controlled foreign company (CFC) rules. It attributes to a Portuguese resident the profits of a non-resident entity under a clearly more favourable regime. Paragraph 12 of the same article sets this rule aside for an entity resident in another EU Member State. The taxpayer has to show that the entity was set up and runs for valid economic reasons and carries on a real economic activity (atividade económica genuína). Estonia is an EU Member State.
For a real business, residence therefore usually matters more than the CFC rules. The page on an Estonian company with a Portugal-resident owner covers the detail, and our article on where an Estonian company is actually taxed gives the wider background.
Who Estonian accounting helps
It helps Portuguese companies with a real operation in Estonia. That is usually the case when:
- your Portuguese group has a subsidiary in Estonia with its own staff, premises or customers,
- the company is registered for VAT in Estonia and has to file every month,
- local management makes its decisions in Estonia,
- you employ people in Estonia and need payroll under Estonian law.
In those cases you need books kept under Estonian law, Estonian filings made on time, and someone who knows both sides. That is our work.
Who it does not help
The position is different if you live in Portugal, run the company from Portugal and hope an Estonian OÜ (a private limited company) will reduce what you owe in Portugal. We do not promise that result.
Four questions before you go further
- Do the directors and decision makers live and work in Estonia?
- Does the company have its own people, customers or suppliers there?
- Does it have, or will it have, an Estonian VAT registration and monthly filings?
- Would it make sense even if it changed nothing in what you pay in Portugal?
If the answers are no, the main issue is residence, not bookkeeping. We say so on the first call. If an Estonian company does not suit you, it is better to hear it before the company exists than after.
If the answers are yes, the Estonian company is a real operation. Its accounting then has to be done properly under Estonian rules. That is where we can help, and it is why this page comes before the two below.
What we do not answer
The questions below are for your contabilista certificado. We raise them, but we do not answer them:
- Where is the direção efetiva of the company in practice, and how would you show it?
- If the company is Portuguese resident, how are its results and distributions treated?
- If it is not, does article 66 apply to you, and can you use the paragraph 12 exception?
- How should services between the Portuguese company and the Estonian one be treated?
The Estonian numbers worth knowing
- Corporate income tax: 0% on retained and reinvested profit and 22% on distributed profit. The tax is 22/78 of the net amount paid out.
- VAT: 24% since 1 July 2025, with a registration threshold of 40,000 EUR. The VAT return (KMD) is due by the 20th of the following month.
- Annual report: by 30 June.
How we work with your contabilista certificado
We speak to your contabilista certificado directly once you give us permission. Together we agree the chart of accounts, the reporting format and the dates. The Estonian figures then reach your accounts and the group consolidation without rework. We pass Portuguese tax questions on to your accountant.
What we do on the Estonian side
We do the monthly bookkeeping, file the VAT returns, run payroll, and prepare and file the annual report. The two pages below cover an Estonian company run from Portugal and online sellers.
How it works
First call
We check whether the company really operates in Estonia, and what it needs there.
Review
We go through the register extract, bank accounts, contracts, staff and the state of the books.
Agree with your accountant
We agree the chart of accounts, reporting format and dates, so your accounts can consolidate the Estonian figures.
Ongoing work
Monthly bookkeeping, the VAT return by the 20th of the following month, and the annual report by 30 June.

Does an Estonian company save tax if I live in Portugal?
We do not promise that. Article 2(3) CIRC makes an entity resident in Portugal if it has its sede or direção efetiva there. If the company is run from Portugal, residence is the first question for your contabilista certificado.
Are the article 66 CFC rules not the main problem?
Usually not. Paragraph 12 sets the article aside for an entity resident in another EU Member State that was set up for valid economic reasons and carries on a real economic activity. For a real business, residence usually matters more.
Do you replace our accountant or auditor?
No. We are the Estonian part of your group and work alongside your contabilista certificado. We deliver the Estonian figures in a form your accounts can consolidate.
Do you advise on Portuguese tax?
No. We do not give Portuguese tax advice. We list the Portuguese questions and leave the answers to your contabilista certificado.
What language do you work in?
English. If your accountant needs the reports laid out in a particular way, we set them up to match. A Portuguese version of this page is available.
When does an Estonian company help a Portuguese business?
When the operation is really in Estonia, with staff, customers or suppliers there and Estonian VAT duties. The accounting is then an obligation that has to be done properly.
